Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Client") and KeyStone Tech LLC ("we," "us," or "our") for all web design, development, hosting, maintenance, branding, and related digital services. By submitting an intake form, signing a project agreement, or making a payment, you confirm that you have read and agree to these Terms in full.

1. Services

KeyStone Tech LLC provides custom web design and development, SEO optimization, brand identity, digital marketing, hosting, and ongoing maintenance services to small businesses and entrepreneurs. The exact scope of work, deliverables, timeline, and fees for each engagement are defined in a written project agreement or proposal provided before work begins.

We reserve the right to decline any project at our discretion. Acceptance of an intake form or inquiry does not constitute a binding agreement until a written proposal has been signed or a deposit has been received.

2. No-Risk Draft Review

We believe you should see what you're getting before you fully commit. Our process is structured to protect you at every step:

  • Discovery deposit: A deposit is required to begin. This covers the time invested in research, strategy, and building your initial design concept. Deposit amounts are specified in your project agreement.
  • Initial concept review: We present your first design concept before you commit to the full project balance. You review it and decide whether to move forward.
  • Walk away option: If you do not approve the initial concept and choose not to continue, you are not obligated to pay the remaining project balance. Only the discovery deposit is retained to cover work completed.
  • Revision rounds: Once you approve the concept and commit to the full project, two rounds of revisions are included. Additional revisions beyond those included are billed at our standard hourly rate.
  • Final approval: Nothing goes live without your explicit written or email sign-off.

This guarantee applies to the initial design concept stage only. It does not apply to requests made after the concept has been approved, scope changes initiated by the client, third-party service issues, or features outside the agreed project scope.

3. Payment Terms

All projects require a deposit before work begins. The deposit amount and full payment schedule are outlined in your project agreement. For one-time build projects, the remaining balance is due upon your final approval before the site goes live. We do not launch sites with outstanding balances.

For subscription-based plans, the monthly fee is billed on a recurring basis on the same date each month. Subscription plans require a minimum commitment period as specified in your agreement (typically 6 or 12 months). After the minimum period, subscriptions continue month-to-month until cancelled in writing with 30 days notice.

Hosting and maintenance add-on plans are billed monthly. Failure to pay within 10 days of the due date may result in suspension of hosting or services until the account is brought current. Accounts more than 30 days past due may result in site takedown, and we are not liable for any business impact resulting from that action.

All fees are in US dollars. We accept payment via invoice link (credit/debit card), bank transfer, Venmo, or other methods as agreed. Invoices are sent via email and are due within the timeframe stated on the invoice.

4. Revisions and Scope Changes

Each project includes a defined number of revision rounds as specified in your agreement. A revision is a refinement to the existing approved direction. It is not a redesign, a new page, or a change in overall concept.

Requests that fall outside the agreed scope will be quoted separately before any work begins. We will never add billable work without your prior approval. Scope changes that significantly alter the project timeline may also affect the delivery date.

Additional work beyond included revision rounds is billed at $75 per hour unless a different rate is specified in your agreement.

5. Client Responsibilities

To keep your project on track, you agree to:

  • Provide all required content (text, images, logos, brand assets) within the timeframe specified in your project agreement
  • Respond to design feedback requests and approval requests within 5 business days
  • Designate a single point of contact for all project decisions and approvals
  • Ensure you have full legal rights to any content, images, or materials you provide to us for use on your site
  • Keep your billing information current and pay invoices on time

Projects may be placed on hold if content or feedback is not received within a reasonable time. We are not responsible for delays or missed deadlines caused by client inaction. If a project is inactive for more than 60 days due to client non-response, we reserve the right to archive the project and require a restart fee to resume.

6. Ownership and Intellectual Property

For one-time build projects, upon receipt of full payment, you own the final website design, all custom graphics, and all written content created specifically for your project. Ownership transfers completely at the time of final payment.

For subscription-based plans, you own the site content and design after your minimum commitment period is complete and all payments are current. During the active subscription, we retain a license to host and maintain the site on your behalf.

We retain ownership of any proprietary tools, internal frameworks, reusable code libraries, or development processes used in building your site that are not specific to your project. These are not transferred as part of the project deliverables.

We retain the right to display completed work in our portfolio, case studies, and marketing materials. If you require confidentiality, please notify us in writing before the project begins and we will accommodate that request.

7. Hosting and Maintenance

Hosting services are provided on a monthly basis. We use reliable third-party infrastructure but cannot guarantee 100% uptime. Scheduled maintenance windows may result in brief periods of downtime and will be communicated in advance when possible.

Maintenance plans cover the services explicitly listed in your plan tier. They do not include new feature development, new page builds, or work that falls outside the included monthly hours. Unused monthly hours do not roll over.

If you choose to host your site elsewhere after a one-time build, we will provide your site files and credentials upon receipt of full payment. We are not responsible for any issues that arise from third-party hosting environments after file transfer.

8. Third-Party Services

Some projects involve third-party platforms such as domain registrars, payment processors, booking systems, CRM tools, or social media integrations. We are not responsible for the availability, pricing, terms, or performance of those services. Costs associated with third-party services are separate from our fees unless explicitly included in your written agreement. We will notify you of any required third-party accounts or costs before the project begins.

9. Confidentiality

Both parties agree to keep confidential any proprietary business information, trade secrets, or sensitive data shared during the course of the project. This includes but is not limited to business strategies, client lists, financial information, and unpublished creative work. This obligation survives termination of the project agreement.

10. Limitation of Liability

KeyStone Tech LLC is not liable for any indirect, incidental, special, or consequential damages arising from the use of our services, your website, or any third-party services we integrate. This includes but is not limited to lost revenue, lost data, lost business opportunities, or reputational harm.

Our total liability for any claim related to a specific project shall not exceed the total amount paid by you for that project in the 12 months preceding the claim.

11. Termination

Either party may terminate a project agreement with written notice. If you terminate a project after work has begun, you are responsible for payment for all work completed up to the termination date, calculated at our standard hourly rate or as a prorated portion of the project fee. Discovery deposits are non-refundable once the design phase has started.

For subscription plans, you may cancel after your minimum commitment period with 30 days written notice. No refunds are issued for partial months already billed.

We reserve the right to terminate services immediately and without refund if a client engages in abusive, threatening, or fraudulent behavior, or if payment obligations are not met after reasonable notice.

12. Warranties and Disclaimers

We warrant that we will perform services in a professional and workmanlike manner consistent with industry standards. We do not warrant specific business outcomes, search engine rankings, conversion rates, or revenue results from any website we build or service we provide.

SEO results vary based on factors outside our control, including search engine algorithm changes, competition, and content quality. We make no guarantees about specific ranking positions or traffic levels.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Hennepin County, Minnesota, under the rules of the American Arbitration Association. Each party bears its own legal costs unless the arbitrator determines otherwise.

14. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page reflects the most recent revision. For active clients, material changes will be communicated via email. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
